Cy Johnson is a business attorney with more than 30 years of experience. His long-term clients are primarily family-owned and privately-owned companies in a variety of industries, including real estate development, hotel and restaurant development and management, and professional services including architecture, dentistry, engineering, medical spas, medicine, and pharmacy. Cy represents entrepreneurs, start-up companies and emerging companies in formation, angel refinancing, private Regulation D offerings (including Rule 506(c) general solicitation offerings) and in general corporate matters such as contracts, acquisitions, mergers and sale transactions. Representative entrepreneurial companies have included a producer of moissanite jewelry, a private educational institution, internet companies and a telemedicine provider. Cy also advises clients on director, officer and manager fiduciary duties and represents clients in shareholder, partner and member disputes and separations.
In addition, he has a sports practice having represented NASCAR drivers and teams for over 20 years and the Charlotte Flights Track & Field Club, Inc. since their organization in 1994. In 2014, he became registered as a Contract Advisor for the NFLPA.
Cy has an AV Martindale Hubbell rating and is routinely listed as one of The Best Lawyers in America© in Business Organizations (including LLCs and Partnerships), Closely Held Companies and Family Business Law and Corporate Law, and is listed in publications as a “Super Lawyer” and one of the “Legal Elite” in Corporate and Business Law in North Carolina.
In the community, Cy has served on both governmental and civic boards in Charlotte, including Charlotte Ballet (formerly the North Carolina Dance Theatre), Charlotte Zoning Board of Adjustment, Charlotte Opera, Habitat for Humanity of Charlotte, University Radio Foundation, Inc. (“WFAE” Charlotte’s NPR affiliate), and is currently serving on the Board of the McColl Center for Art and Innovation. He has experience chairing organizations, serving as secretary, treasurer and with committee assignments including audit, nomination, strategic planning and executive committees.
Cy is a member of the Mecklenburg County Bar Association, NC Bar Association and the American Bar Association with prior service on the Mecklenburg County Bar Association Board of Directors, the NC Business Law Section Council and as a delegate to the American Bar Association House of Delegates from Mecklenburg County. Cy served on the drafting committee for the original North Carolina Limited Liability Company Act, which was adopted in 1993, as well as on the drafting committee, which revised the North Carolina Limited Liability Company Act (effective January 1, 2014).
