A tax attorney for more than 30 years, he focuses his practice on the taxation of pass-through entities. Howard also helps clients resolve tax disputes, having litigated cases before the U.S. Tax Court.
Mr. Solodky has been a tax practitioner since 1977, commencing private practice in 1981. He focuses on the taxation of pass-through entities and has primary responsibility for all tax aspects of the Firm’s private equity and hedge fund practice, including the use of REIT’s and other blocker entities to insulate investors from unrelated business taxable income and effectively connected outcome. He also regularly provides advice to Firm clients and attorneys from other practice groups on choice of entity and drafting of tax allocation and cash flow distribution provisions for organizational documents for partnerships and limited liability companies.
As one of the Firm’s lead tax attorneys on tax-efficient structuring of mergers and acquisitions, he frequently participates in the planning of both asset and equity purchase transactions. In that capacity, he often drafts and negotiates seller tax representations and covenants for acquisition agreements.
Mr. Solodky has substantial tax controversy and rulings experience at both the federal and state levels and has litigated several cases in the United States Tax Court. He has represented numerous publicly-traded and privately-held companies before both the Examination Division and the Office of Appeals of the Internal Revenue Service.
Mr. Solodky also has recurring involvement in the tax aspects of equipment, leveraged and synthetic leasing, with a particular emphasis on the aircraft leasing industry. Additionally, he represents several large tax-exempt organizations to whom he provides assistance on issues ranging from “intermediate sanctions” compliance to avoidance of unrelated business taxable income.
