He works with tech companies of all sizes, with particular emphasis on mid-market and upstream companies. Todd also helps connect promising start-up ventures with resources, investment and strategic partners.
Mr. Harris represents public, private and not-for-profit clients in a broad array of corporate and commercial matters. As outside general counsel to dozens of companies, Todd advises senior executives and boards of directors regarding strategic transactions, risk management, dispute resolution and general corporate matters. Todd regularly advises clients regarding financing transactions, stock issuance, corporate reporting, asset purchases, joint ventures, engagement of executive teams, and the economics and intellectual property aspects of mergers and acquisitions.
Like the Northern Virginia/D.C. market itself, Todd’s clients are often enterprises involved in the development and commercialization of proprietary software and Internet-based technologies. Todd assists those clients in crafting strategies and programs for IP protection, including trade secret and information security policies, patenting strategies, and brand management. He also provides counsel regarding privacy law compliance and registration of intellectual property rights, including management of international counsel for global IP filings.
Todd has managed transactions across Asia, Australia, Europe, South America and throughout North America.
As an adjunct professor at Georgetown University Law Center, Todd teaches the law of licensing and technology commercialization. He is a frequent speaker regarding a variety of legal issues, having addressed organizations and universities like the American Bar Association, the American Law Institute, the judicial conference of the Commonwealth of Virginia, Johns Hopkins University, the University of Maryland, Howard University, and Georgetown University.
Todd has been an active member of the Northern Virginia and Greater D.C. community for more than 15 years, having participated in organizations like Leadership Fairfax, the Loudoun County Chamber of Commerce, and the Virginia State Bar.
