Companies Required to File Form D Notices Electronically Starting March 16, 2009

Both public and private companies will be required to file Form D notices of unregistered offerings electronically beginning on March 16, 2009. In order to file or amend Form D electronically, a company must have its own filer identification number (called a "Central Index Key" or "CIK" number) and a set of access codes that will allow it to access the SEC's EDGAR electronic filing system. Companies that have not already obtained a CIK number and EDGAR access codes are encouraged to do so soon in order to be able to timely file Form D notices once the requirement to file electronically becomes applicable.
