Mendelson & Svetz Address NVTC at M&A 101/102 Breakfast Program
Deals are a fact of life in the Northern Virginia technology and government contractor community, but for many inside counsel who are called upon to lead the charge, transactions are only part of a wide-ranging set of responsibilities. On September 16, Womble Carlyle will host the Northern Virginia Technology Council's General Counsel Committee for an M&A 101/102 breakfast program at the McLean Hilton in Virginia, from 7:30-9:00 am. This presentation, moderated by Womble Carlyle Government Contracts attorney, Holly Svetz, will provide valuable information and step-by-step procedures for lawyers who have not yet handled an acquisition, and it will be a brush-up for those who don't handle them regularly.
Panelists from three different perspectives -- inside M&A counsel, investment bank, and outside M&A counsel -- will explore how the process works and what inside counsel's role is during the phases of (1) pre-commitment/letter of intent, (2) due diligence, (3) negotiation and drafting of purchase agreement and other acquisition documents, (4) post-signing, pre-closing rush, (5) closing, and (6) post-acquisition integration.
