Lawyer Bio : Clinton D. Richardson

Clinton D. Richardson

"Clint"

Atlanta

Clint Richardson works regularly with growing companies in the information technology, life science, and service industries and with companies and individuals that provide financing to or acquire growing companies. Clint is a founder and director of the oldest venture capital and private equity investor association in the Southeast, the Southern Capital Forum, and is the author of a critically acclaimed series of Growth Company Guides for entrepreneurs and private company investors. The first of these books was published in 1987 as The Venture Magazine Complete Guide to Venture Capital. The most recent, published in 2009, advises Chinese investors on methods venture capitalists use to invest in private companies.

Clint’s work with private and public companies involves private fundraisings, initial and follow-on public offerings, governance counseling, technology and trade secrecy advice, licensing, distribution, joint ventures, mergers and acquisitions, and spin-off strategies. His work with private capital funds and angel investors includes counsel on fund formations, governance, portfolio investments, and exits. Over the years, he has helped life science clients respond to warning letters, recalls, and investigations by public agencies such as the SEC, FDA and CDC, as well as shareholder and derivative lawsuits.

Clint advises growing companies of all sizes, from start-ups to NYSE listed companies. His work with life science companies began three decades ago, in 1977, as part of a legal team that worked with a private medical device manufacturer through its growth years, public offerings and NYSE listing. He later provided start-up to public company representation for a leading tissue science company, also listed on the NYSE, and start-up to successful exit representation for a transaction processing company. This last company went through six rounds of venture financing and eventually sold for more than $500 million. Clint’s current work includes a public HIV/AIDS drug developer and privately-held medical device and information technology businesses.

Clint has been named to several best advisor listings, including Atlanta Magazine’s “Georgia Super Lawyers,” the Atlanta Business Chronicle’s “Who’s Who in Law and Accounting,” “Who’s Who in Technology,” and “Who’s Who in Health Care,” and Catalyst Magazine’s “Technology Players.” As part of his practice, Clint chairs the firm’s private equity and venture capital team.
