David B. Baddour

Mr. Baddour is a member in the Corporate and Securities Practice Group. He splits his practice between private investment fund transactions, including fund formation and representation, and general corporate work, with an emphasis on start-up companies.
 
As a part of Womble Carlyle’s Private Investment Fund Team, Mr. Baddour has significant experience in representing clients on all matters relating to private investment fund transactions, including organization and structuring, the negotiation of key terms (on both the investor and fund side), and compliance with applicable securities and tax laws and regulations. Mr. Baddour has also provided ongoing counsel to private fund clients in connection with governance and management matters.
 
During his career, Mr. Baddour has represented institutional investors in connection with private fund investments totaling billions of dollars. He has also counseled institutional investors in connection with the placement of billions of dollars with public equity investment managers.
 
Mr. Baddour also has represented private companies (including venture backed companies and other start-up companies) in a wide variety of corporate and securities transactions. These include venture capital and other private company financings, as well as other transactional and governance matters including: meetings of shareholders and boards of directors; employment contracts; stock repurchases; shareholder agreements and general contract issues.
 
In addition, Mr. Baddour specializes in representing clients in the education industry, including providing counsel on matters relating to internal governance and structuring.

Mr. Baddour has been recognized as a Rising Star by North Carolina Super Lawyers.
