Mr. Donadio advises clients in the area of state, county, and city economic development incentives such as tax credits, cash grants, and infrastructure improvements intended to induce the location of industrial and commercial projects. He also represents issuers, borrowers, and underwriters with respect to tax-exempt financings of capital projects such as hospitals, educational facilities, and life care facilities, and represents lenders and borrowers with respect to conventional financings of shopping centers, manufacturing facilities, hotels, office buildings, apartment complexes, and other similar facilities. He counsels large healthcare systems and private colleges and universities on their taxable and tax-exempt financings, including the entry into interest rate swap agreements and other derivative transactions.
 
Some of Mr. Donadio’s recent and current engagements include:
 
  • Don was a principal on a team of Womble Carlyle attorneys that successfully completed the location of three of the largest data centers developed in the United States over the last five years. Don drafted or assisted in drafting local incentives agreements and negotiated electric service agreements with the regions largest electric power provider.
  • Don was lead attorney on negotiating state and local incentives in excess of $40,000,000 in connection with the location of a biomanufacturing plant to serve the state’s largest biopharmaceutical company. In addition to the work on incentives Don managed a team that provided real estate, land use, utilities, state and local tax and construction services in connection the $380,000,000 project.
  • Represented one of the world’s largest consumer products companies in expanding a customer service call center in Piedmont North Carolina.
  • Represented The Cheesecake Factory Bakery Incorporated in the selection and acquisition of a site and the negotiation of cash and other economic development incentives in connection with the development of a commercial bakery.
  • Served as principal attorney in representing reliance Industries, India’s largest private company, in its efforts to locate a specialty plastic products facility in the United States.
  • Represented a subsidiary of Daimler Benz with the negotiation of economic development incentives and the documentation of related State and local performance agreements respecting cash grants, tax credits, and in-kind contributions exceeding 40% of the cost of a new assembly plant.
  • Serves as counsel to the North Carolina Partnership for Economic Development, the umbrella organization for North Carolina’s seven regional economic development partnerships.
  • Advised an international biopharmaceutical company on economic development incentives relating to the planned acquisition and consolidation of facilities, the expansion of an existing biotech fermentation facility, and the creation of a special tax district including the consolidated operation.
