G. Donald "Don" Johnson is one of the founding members of the Atlanta office. Don has over 30 years experience in the representation of public and private companies in transactional matters, corporate finance, mergers and acquisitions, and cross-border transactions, with a subspecialty in technology transfer and commercialization transactions.

For the past several years, Don’s practice has been primarily comprised of representing buyers and sellers of businesses and in representing companies in raising both private and public equity and debt capital, having closed numerous mergers and acquisitions and financing transactions throughout the United States and internationally. Don is very active in representing numerous manufacturing companies as well as a large number of technology enterprises. His clients cover a wide array of industries including carpet manufacturing, software, technology services, equipment manufacturing, biomedical devices and products, building materials, aerospace, retail sales and numerous others.

Representative Experience

  • Represented major U.S. electric power transmission equipment manufacturer in the acquisition of two European manufacturers of similar equipment.
  • Assisted longtime software company client, from start-up through several rounds of capital, including spin-out of e-commerce division, in its sale to a major private equity firm.
  • Represented strategic acquirer in acquisition of controlling interest in China-based nanotechnology company.
  • Represented numerous buyers and sellers in Section 363 transactions in bankruptcy in the aerospace industry, water purification, communications, and transportation industries.
  • Represented major building materials supplier from initial management buyout in 1990 through its sale to a Fortune 100 company in 2005.
  • Represented investor group in acquiring exclusive worldwide perpetual rights to patented spinal disc implant technology.
  • Represented major U.S. carpet manufacturer in acquisition of a Canadian carpet manufacturer and subsequent acquisitions of all fiber extrusion business from U.S. based seller.
  • Assisted U.S. based video post-production company in a technology transfer transaction in the former Soviet Union.
  • Represented long-term software / technology motion-capture and animation company in technology transfer and strategic alliances in the entertainment, sports and other industries.
