Dorinda Peacock is an experienced corporate and securities attorney who focuses her practice on corporate sales, acquisitions, finance and general corporate law, including preparing and reviewing contracts.
Dorinda’s experience includes counseling clients in all aspects of the corporate acquisition process:
- Due diligence review
- Structuring the transaction
- Deal negotiation
- Financing
- Documentation.
She also has significant experience counseling clients in commercial contract relationships.
In addition, Dorinda practices real estate law, assisting clients in negotiating and documenting real estate acquisition and sale transactions and leases for commercial property.
Representative Matters
- Represented Meriturn Partners, LLC in its acquisition of Valentine Paper, Inc.
- Represented AmSan LLC with the refinancing of a significant portion of its outstanding debt. AmSan also amended and restated its senior subordinated debt.
- Represented Butterball LLC with a credit facility and related amendments.
- Represented Meriturn Partners, LLC, a private equity firm, in various acquisitions.
- Served as acquisition counsel to Carolina Turkeys, now Butterball LLC, in acquiring the Butterball brand and business. The deal created the largest turkey producer in the United States.
- Represented a major apparel manufacturer in a joint venture with an Israeli yarn company for a long-term supply agreement.
- Represented Meriturn Partners, LLC in merger and refinancing of two portfolio companies.
- Represented AmSan LLC in its sale of all equity interests to Interline Brands, Inc.
- Counseled Global Knowledge Training LLC in obtaining a loan from a major international bank.
- Represented Corporate Realty Advisors, L.L.C., in its sale of its real estate consulting services business.
- Represented Beacon Ventures LLC as a borrower in a mezzanine financing transaction.
- Represented textile manufacturer Dan River, Inc. in $19 million sale of assets.
- Represented Swiss manufacturer in sale of business division.
- Served as buyer’s counsel for more than 40 acquisitions by AmSan, LLC.
