Mr. Howland has extensive experience in representing public and privately held corporations, with particular focus on biotechnology, software, semiconductor and other high technology businesses. His practice is concentrated in the areas of corporate finance, securities regulation, corporate governance, mergers and acquisitions, corporate spin-outs, technology transfer and strategic partnering. His clients include publicly traded corporations, venture capital and private equity firms, universities, entrepreneurs and privately held technology businesses.
Mr. Howland has completed transactions including:
- Represented biotechnology, software and semiconductor businesses in their initial public offerings (IPO) and in secondary debt and equity offerings.
- Counseled public corporations in all matters related to corporate governance, including compliance with the Sarbanes-Oxley Act of 2002, the Dodd-Frank Wall Street Reform and Consumer Protection Act, and relevant SEC, Nasdaq and NYSE corporate governance requirements.
- Represented venture capital and private equity firms in formation, fund raising and governance matters.
- Represented venture capital firms and technology businesses in over 100 rounds of venture capital investment involving leading venture capital firms and individual investment rounds in excess of $60 million.
- Represented publicly traded and privately held corporations as buyers and sellers in mergers and acquisitions.
- Represented public corporations, universities, venture capital firms and newly spun-out businesses in corporate spin-out transactions involving the creation, finance and separation of stand-alone public and private corporations.
- Represented biotechnology companies in the negotiation of license agreements, research and development agreements and other strategic partner arrangements with pharmaceutical companies.
