Keith Mendelson has over 20 years of experience representing public and private companies in a wide range of corporate, transactional and securities matters, including public and private offerings, mergers and acquisitions, complex international transactions, compliance with federal and state securities laws, partnerships and limited liability companies and licensing and joint venture agreements. Mr. Mendelson is often called upon to advise boards of directors and to provide general corporate and commercial advice. His clients come from many industry segments including information technology, computer hardware and software, telecommunications, government contracts, e-commerce and Internet, international private power development and biotechnology. Mr. Mendelson joined Womble Carlyle in 2002 after serving as the general counsel of two technology companies.
Mr. Mendelson’s practice has included the following:
- Represented the owners of Spacelink International LLC, a satellite telecommunications provider to the U.S. Government, in the sale of the company to Engineered Support Systems, Inc. for over $150,000,000.
- Represented the management team in a leveraged-management buy-out of a value-added solutions provider of technology products, services and solutions to the government and business owners.
- Represented Network Solutions, Inc. in its initial public offering and two following on offerings (the largest public offerings of Internet companies at the time).
- Represented KMR Power Corporation and K&M Engineering and Consulting Corporation in the innovative development and financing of two private electrical power plants in Latin America.
- Represented Technology Services Corporation in its acquisition of Phase IV Systems, Inc., a provider of high technology weapons systems components to the U.S. Government.
- Continuing representation of an investment group in a roll-up of private security companies.
- Represented private investors in an acquisition of a rural local exchange carrier in New England.
- Represented a telecommunications company in its acquisition and sale of PCS licenses and acquisition of dark fiber and other telecommunications services.
- Represented numerous private technology companies in venture capital, angel and other private equity financings and in mezzanine and senior debt financings.
