Ken has represented buyers and sellers in numerous acquisitions, divestitures and mergers ranging in size from $100,000 to over $300,000,000. Ken also provides general corporate and business advice to many of North Carolina’s leading companies. Since 2001, Ken has been selected for The Best Lawyers in America for his work in Corporate Law and in 2005, he was named to the Best Attorneys Network. Ken is a member of the Wake County, North Carolina and American Bar Associations and is a member of the Business Law Section Council of the North Carolina Bar Association. Ken also serves on the Large Law Firm Committee and Professionalism Committee of the North Carolina Bar Association. Ken formerly served on the Firm Management Committee and was the Office Managing Member of the Firm’s Research Triangle Park office. He also is the current chair of the Salaried Attorney Compensation and Membership Panel Review Committees. Ken is also very active in charitable and civic affairs, including serving on the Wake Forest University Law School Board of Visitors. - Representation of large international corporation in several acquisitions in the wireless communications sector.
- Negotiation and documentation of the sale of a distance education college.
- Negotiation and documentation of numerous acquisitions and divestitures in the textile, furniture, convenience store, office products and equipment, health care, pharmaceutical and building products industries.
- Negotiation and documentation of ESOP related mergers and acquisitions.
- Primary outside counsel to large, national, wholesale food manufacturer.
- Primary outside counsel to large, national garage door manufacturer and distributor.
- Ongoing representation of commercial office building owners and lessors.
- Representation of medical and dental practices, including drafting of employment and shareholder agreements.
- Negotiation and drafting of numerous supply and distribution agreements in the building products industry.
- Representation of co-operative associations in the energy, pharmaceutical and agricultural products sectors.
- Representation of colleges and universities in corporate governance issues.
- Represents the largest turkey producer in U.S. in corporate, contracting, and sales and marketing matters. Includes turkey grower contracts and some regulatory matters.
