Ken is a partner in the Firm’s Corporate and Securities and Capital Markets practice groups, and has over 20 years of experience counseling clients in domestic and international business transactions. Ken has advised clients in all aspects of corporate and real estate finance, including representing lenders and borrowers, as well as investors and companies in negotiating and documenting debt and equity transactions. Ken also advises businesses, social enterprises and governmental entities in economic and community development matters.
His practice includes representing clients in capital formation, strategic alliances, the acquisition and sale of businesses, and private investment transactions. Ken’s clients span a wide variety of industries, including financial services, technology, life sciences, health care, insurance, sports and entertainment, manufacturing and distribution.
Ken’s practice regularly includes acquisition and development loans, term financings, subordinated debt and asset based financings.
Ken also represents developers of affordable housing financed with the low-income housing tax credit as well as equity funds that invest in such projects, and has served as bond counsel for state and local financings of educational, transportation, health care and other infrastructure projects.
In 2010, Ken was a candidate in North Carolina for the United States Senate.

- Representation of lender in secured loan to hotel developer and operator;
- Representation of an auto dealership in asset based financing;
- Representation of developer of federal and state low income housing tax credit financed project in connection with construction and permanent loans to finance multi-family residential housing projects;
- Representation of super-regional bank in sale and lease-back of multiple branches;
- Representation of the State of North Carolina in $355,000,000 Variable Rate General Obligation Bonds;
- Representation of The University of North Carolina at Chapel Hill in $44,710,000 Variable Rate Housing System Revenue Bonds;
- Negotiation and documentation of telecommunications equipment distribution agreements with distributors in South America, including Brazil, Venezuela and Chile;
- Outside general counsel to foreign-based company developing an internet-based electronic funds transfer business;
- Representation of an investment advisory firm in equity private placements and formation of strategic alliances;
- Representation of NASD-traded company in public rights offering of securities;
- Local counsel to public company in $100,000,000 debt offering;
- Representation of investment fund affiliated with a Community Development Financial Institution.
