Lou Barbieri is an associate in Womble Carlyle's Corporate and Securities Practice Group. Lou has significant experience advising and representing corporate clients in both sophisticated transactions and federal and state compliance issues. Lou has successfully counseled clients through sophisticated and technical transactions from formation to exit, including equity and borrowing financings and sale transactions. Lou also has extensive experience in counseling clients through complex federal and state compliance issues, including immigration laws and tax-exempt status matters.
Lou’s experience crosses many industries, with extensive experience in the technology and software, hospitality services and manufacturing industries.
Prior to attending law school, Lou worked as a legislative intern in Washington, D.C. and as an assistant campaign manager for Jim Ward’s Florida State Senate campaign.

- Counsel in the attempted $125 Million acquisition of Spheris, Inc. from Chapter 11 Bankruptcy proceedings by Transcend Services, Inc.
- Counsel in the purchase by Transcend Services, a medical transcription company of Medical Dictation Services, Inc. in the approximate amount of $15.3 Million.
- Counsel to private equity firm Navigation Capital Partners in the acquisition of Technical Innovation, LLC, an audio visual provider.
- Counsel to Navigation Capital Partners and Technical Innovation Holdings, LLC in senior financing arrangement with Regions Bank, NA and mezzanine financing arrangement with Peachtree Equity.
- Counsel to private equity firm Navigation Capital Partners in the acquisition of Specialized Technical Services, Inc., a provider of utility meter reading services, and its affiliates.
- Counsel to private equity firm Navigation Capital Partners and Specialized Technical Services Holdings, Inc. in the acquisition of LEPService, Inc., a provider of utility meter reading services owned by an Employee Stock Ownership Trust, for an aggregate purchase of approximately $16 Million.
- Counsel to Hospitality Staffing Solutions, LLC in financing with Caltius Partners and its affiliates.
- Counsel to Hospitality Staffing Solutions, LLC in financing with The PrivateBank and Trust Company.
- Counsel to Hospitality Staffing Solutions, LLC in financing with CIT Group/Commercial Services.
- Counsel to RCG Ventures Distressed Real Estate Opportunity Fund in establishment of real estate investment fund and offering in partnership interests.
- Counsel to ADB Group, Inc. in reorganization and redemption of certain stockholders.
- Counsel in sale of Boxercraft, a manufacturing company, to River Associates, LLP.
- Counsel in sale of Transus Intermodal, a transportation company, to Road Link USA, a publicly-traded freight forwarding company.
- Counsel in sale of multiple operating divisions by Caraustar Industries, Inc. a publicly traded recycled paper manufacturer, and ongoing corporate securities, litigation, real estate and employment work.
- Counsel in sale of ReachOut Health Care, a provider of professional medical staffing, to Sentinel Capital Partners.
- Counsel in a series of multiple equity private placements for Greenway Medical Technologies, a provider of medical software for physician offices, and associated general corporate, debt financing, employment and tax.
- Counsel in general representation of GS Battery USA, a Japanese manufacturer of conventional and lithium batteries.
