Ms. Rothenberg has more than twenty-four years of legal experience with an entrepreneurial orientation primarily emphasizing commercial real estate transactions. She has special experience in representing owners, developers, and asset and property managers in all aspects of acquisition, development, debt and equity finance, construction, operation, management, and disposition of commercial and residential real estate projects. Her practice focuses on, and she has substantial experience in analyzing, negotiating, structuring and documenting:

 

  • Acquisitions and dispositions of land and completed projects
  • Development of large commercial, multifamily and mixed use real estate projects
  • Public-private partnerships
  • Debt and equity financing vehicles, including acquisition, construction, permanent and mezzanine loans, participating financing and institutional joint venture investments
  • Commercial leasing for office and retail projects and leasing forms for multifamily communities
  • Ground leases
  • Construction management and project development agreements
  • Property management and asset management agreements
  • Equity investments and joint ventures
  • Workouts of distressed real estate projects including debt restructuring, non-judicial settlements and forbearance alternatives
  • Real Estate Technology Transactions, including telecom contracts, licenses, leases, easements and joint ventures transactions

Ms. Rothenberg serves as lead counsel in the mid-Atlantic region for a $2 billion multifamily residential real estate investment trust. She was the lead counsel for the residential developers of the Rockville Town Square redevelopment, a Finalist for the Washington Business Journal Best Real Estate Deals of 2007.

Representative Transactions:

  • Represented the lead multifamily developer in the mixed-use redevelopment of Rockville Town Square through a private/public partnership with the City of Rockville. Transaction included senior mortgage debt and mezzanine financing with multiple lenders and drafting as well as negotiating design-build and general construction contracts.
  • Assisted developer/borrower in the restructuring of a $300+ million joint venture portfolio involving 7 multifamily communities in multiple states.
  • Advised numerous developers and borrowers under the Fannie Mae Delegated Underwriting and Servicing (DUS) product line.
  • Advised numerous owners, developers and asset managers in joint venture transactions with institutional equity investors.
  • Negotiated with Freddie Mac, Fannie Mae and other institutional lenders on behalf of a private equity fund established by a publicly traded REIT in an ongoing series of financing matters for multimillion dollar multifamily community acquisitions.
  • Represent public REIT as lead counsel in multi-million dollar development transactions throughout the Mid-Atlantic region.
  • Represented a multifamily developer in a $50 million acquisition of a multifamily community subject to existing FHA Section 221(d)(4) loans. Represented multifamily developers in complicated telecom service contracts with national providers.
  • Serve as lead counsel for a regional property management company that has 10,000 apartment units.

Ms. Rothenberg leads Womble Carlyle's Multifamily Real Estate Team and routinely serves as lead counsel for signature rental and for-sale residential communities, as well as large scale mixed-use developments with significant multifamily components. She also participates in the Real Estate Technology Team at Womble Carlyle, where she advises real estate clients on the legal issues involved in developing and managing technology to maximize portfolio value. In her Real Estate Technology practice, she has handled numerous high-value real estate technology and telecom transactions with real estate owners, including commercial and residential developers, asset managers and REITS, involving contract and joint venture agreement drafting and negotiation for telephony, cable, high speed data, internet access, bundled services and rooftop antenna licenses. She previously served as the legal columnist for the Journal of Property Management.

Ms. Rothenberg also leads Womble Carlyle's C2S2 Innovation Team (Custom Client Service Solutions), an initiative dedicated to significantly improving the ways in which Womble Carlyle's lawyers drive value in their provision of legal services to Firm clients.
