Richard was in-house counsel for a large software company for a number of years, where he negotiated enterprise-wide license and services agreements with Fortune 100 customers in retail, financial, manufacturing and other industries, and where he was also instructive in the refinement of the company’s form agreements and interfacing with R&D functions. Richard returned to private practice at Womble Carlyle Sandridge & Rice and focuses primarily on transactions relating to information technology. Richard currently negotiates and advises wide-ranging clients on complex and sophisticated license, services, OEM, outsourcing, supply, and market channel (i.e., distribution, reseller, etc.) transactions based on subject matter that includes:

Richard has vast experience representing both licensees and vendors. His licensee clients run the industry gamut – from large multi-national garment manufacturers, pharmaceutical companies and retailers to mid-sized technology companies, lab automation product manufacturers and hospitals. For these clients, Richard has negotiated multi-million dollar agreements for the acquisition or development of financial, HR, supply chain, electronic health records, pharmacy automation, and other complex systems. Richard’s vendor/manufacturer clients have included collections, business analytics, speech recognition, open source, smart grid, auditing, mobile application and other software developers, video game developers, chemical manufacturers and IT service providers, among others. He has assisted these clients in connection with protecting and commercializing their intellectual property and products, including advising them on and preparing their form license, services and market channel agreements. 
 
Richard also devotes a substantial portion of his practice to advertising, promotions and sweepstakes matters, including advising clients on how to structure sweepstakes, contests and other promotions that comply with applicable laws and regulations in the face of a constantly shifting legal landscape given the pace of technology advances. 
 
Richard regularly lends support in connection with intellectual property aspects of corporate mergers and acquisitions, including performing due diligence on the intellectual property at the heart of such transactions and assisting with negotiations. 
 
Richard is a member of the International Technology Law Association, the Licensing Executives Society, and the Promotion Marketing Association.
