Stan Smith is a Member in the firm’s Corporate and Securities Practice Group. A former tax attorney for the Internal Revenue Service, Stan has more than 30 years experience representing privately held businesses and their owners in all legal and planning aspects including sales and acquisitions of businesses, planning for the transfer of management and/or control of the Company, business restructuring, financing and refinancing, Buy-Sell/Shareholder Agreements, start-ups and formation of limited liability entities, counseling the business and owners on growth and positioning for a possible sale, and all day-to-day aspects of successfully maintaining a growing business. In addition, Stan provides estate planning for the business owner.

Representative Experience 

  • Represented large bottling company in its sale by merger with a transaction value in excess of $130 million. 
  • Represented numerous companies in business purchases and sales, including a golf course acquisition and management company, hotel companies, and a multi-national dairy company. 
  • Represented multi-location cable TV operator in the acquisition and sale of cable systems and provided general representation of the operator. 
  • Provided general representation for a large national consumer products company engaged in national sweepstakes and promotional marketing. 
  • Represents franchisors and franchisees in the restaurant industry, wine industry and coffee industry. 
  • Represented numerous business owners in the purchase and sale of private aircraft.
