Mr. Shenoy advises both public and privately held companies on a variety of corporate and securities matters. He routinely assists public companies regarding their periodic reporting, compliance and disclosure obligations and corporate governance matters. His practice also includes negotiating, documenting and closing complex business transactions, including stock and asset acquisitions and sales, mergers and private securities offerings. Mr. Shenoy has worked with both private and public companies in a variety of industries including manufacturing, technology, transportation and commercial real estate.

  • Represented global technology company in $1.2 billion tender offer for global provider of innovative technology and services to hospitality and retail industries.
  • Represented leading less-than-truckload, non-union motor carrier providing regional, inter-regional and national LTL service in $100 million “at-the-market” equity offering program.
  • Represented trucking-based logistics provider in $122 million offering of units consisting of high-yield notes and warrants.
  • Represented leading manufacturer of proprietary radio frequency components and system level solutions for wireless communications products and applications in its offer to current employees to exchange certain outstanding and out-of-the-money stock options for new options at a more favorable strike price.
  • Represented biotechnology company focused on developing vaccines to protect against or to treat diseases caused by Human Immunodeficiency Virus in $40 million secondary offering of common stock and warrants.
  • Represented manufacturer of advanced eye protection systems in $110 million sale of assets to worldwide leader in performance optics.
  • Represented leading manufacturer of proprietary radio frequency components and system level solutions for wireless communications products and applications in $350 million offering of convertible subordinated notes.
