Todd focuses his practice on commercialization of intellectual property rights in information technologies and digital media, including software and content licensing, Internet-based businesses, university-based and federal lab-based technology transfer, international IT services outsourcing, and strategic commercial relationships such as software distribution channels and OEM agreements. He advises clients on monetizing their proprietary technologies, structures and negotiates their commercial deals, and counsels companies and investors regarding intellectual property aspects of financings and mergers.

Todd represents public and private companies in a broad array of corporate and commercial matters, combining his pragmatic and deep experience in intellectual property law, complex commercial deal-making, and the U.S. regulatory landscape applicable to companies in tech-centric businesses.

Todd’s clients primarily include information technology companies and the venture capital community that finances and supports emerging technology companies. He regularly advises clients as they craft strategies to develop, license and distribute proprietary technologies. In addition to hundreds of business-to-business deals, he has extensive experience with technology transfer and licensing involving universities, government, and the not-for-profit sector. He has managed transactions across Asia, Australia, Europe, South America and throughout North America.

As an adjunct professor at Georgetown University Law Center, Todd teaches the law of licensing and technology commercialization. He is a frequent speaker, having addressed such organizations as the American Bar Association, the American Law Institute and the Licensing Executive Society.
