Overview
Throughout the Carolinas and from our offices in Atlanta and Northern Virginia, our securities lawyers help our publicly held clients navigate the complexities of life as a public company. Our securities practice includes advising our clients concerning compliance with federal securities laws and the requirements of national exchanges, as well as planning, negotiating and executing capital raising and M&A transactions.
SEC Compliance
Located principally throughout the Southeast but doing business worldwide, our publicly held clients include both mature companies that are among the leaders in their industries as well as emerging companies that only recently became publicly held. We help our clients comply with their SEC reporting obligations and the myriad securities laws and SEC regulations that govern the activities of our clients' officers, directors and principal shareholders. We work closely with our clients to keep them informed about ever-changing laws and regulations and help them develop programs for compliance.
Corporate Governance
The relationship between a public company and its shareholders has never been more important. The intersection of principles of corporate governance with board decision-making is a busy one, and our securities lawyers have deep experience in helping our public company clients, including their boards and board committees, identify corporate governance objectives and develop procedures for achieving them. Special committees of public company boards in need of independent counsel also engage the services of our securities lawyers.
Transactions
Our securities lawyers are also active in transactions, advising our public company clients in connection with offerings of debt and equity securities, including initial, follow-on or secondary public offerings, Rule 144A offerings, Exxon Capital A/B exchange offers, PIPEs and other private placements. We also advise our publicly held clients in connection with both buy-side and sell-side M&A transactions.
