Corporate and Securities and Tax

Many relocation initiatives revolve around an acquisition or merger arrangement. A number of our team members are corporate and securities lawyers with vast experience in the area of mergers and acquisitions. And all serve as strategic business advisors to their wide-ranging roster of clients from early stage entrepreneurs to industry leaders.

Ken Carroll represents many high-growth information technology and biotech start-up enterprises, which he has often helped to attract to North Carolina, to secure funding from venture capitalists and investors in the technology-rich environment of Research Triangle Park. Ken has represented buyers and sellers in numerous mergers, acquisitions and divestitures ranging in size from $100,000 to $300,000,000.

Raleigh-based corporate and securities lawyer Heather Mallard has practiced with the firm since graduating from law school in 1988. She identifies each client's specific relocation and related needs and acts as a foreman in mustering firm and outside resources to manage complex acquisition and expansion projects. She has negotiated and structured both domestic and international M&A deals ranging in size from less than $1,000,000 to over $200 million, and has counseled clients engaged in private capital raising activity for over 15 years. Issue spotting is just one of the areas of experience Heather provides, in addition to her experience in the health care, manufacturing and technical industries.

Neill Edwards in RTP lends experience to the team in the related areas of corporate and securities and tax law. Neill finds tax incentives and credits that often are not defined in statutes or governed by existing regulations. Through careful identification of the tax implications of corporate relocation, Neill has saved billions of dollars in relocation costs for companies in the paper, automotive, financial services, and manufacturing industries. Mergers and acquisitions between companies in different states or countries carry significant legal and economic ramifications.
