Information Technology Practice

An important part of our Intellectual Property group is its Information Technology ("IT") practice, which has a multi-disciplinary focus on issues affecting both vendors and users of software and other information technologies. Our recent experience and experience includes:

  • Representing software vendors and users in the documentation and negotiation of software license, OEM/VAR, implementation, services and development agreements,

  • Developing standard "form" vendor license, shrinkwrap, "clickwrap", maintenance, distribution, employment, nondisclosure, development, consulting, and other agreements,

  • Analyzing and providing advice regarding the December 1996 and other revisions to the regulations affecting the export of encryption and other software,

  • Performing due diligence of information technology contracts documenting transition information technology services, and

  • Negotiating and documenting the sale and purchase of information technology companies and assets.

We also engage in extensive counseling with our software clients on the protection of computer software, including copyright, trade secret and patent protection for software, and trademark and trade dress protection for related product names and packaging. We also regularly represent major corporations in software and technology acquisitions, so we are very familiar with the needs and concerns of both developers and users of information technology.
