Tax

Proper tax structuring is critical for your business or organization—the larger your enterprise, the greater the tax ramifications you face. If you are well-positioned with respect to tax laws, you give yourself a competitive advantage in the marketplace. On the other hand, if you fail to adequately plan to meet their tax needs, you may suffer from unnecessary expenses or even costly penalties. The key is having the right strategic plan in place.

Womble Carlyle’s Tax Practice Group works to help businesses like yours find the best possible tax structure, while complying with the changing array of state and federal tax laws and regulations. The goal of our tax attorneys is to minimize the impact of taxes and tax laws on your business or non-profit organization, allowing you to focus more of their resources on building your company.

Our extensive tax-related practice includes:

  • Working with clients on a wide range of commercial and residential real estate tax issues, such as like-kind exchanges, real estate leasing issues, choice of entity and the taxation of pass-through entities
  • Structuring and drafting of limited liability companies
  • Drafting tax organizational provisions for partnership agreements
  • Advising clients on tax planning for corporate mergers and acquisitions, spin-off transactions and public offerings
  • Preparing and negotiating tax indemnity agreements
  • Developing multigenerational wealth and business succession plans that help clients reduce estate and inheritance taxes
  • Advising 501(c)(3) charitable organizations about the preparation of the IRS Form 1023 and Form 990.

Our attorneys also have substantial experience litigating tax-related cases at both the state and federal levels, including representing clients in U.S. Tax Court. We also routinely represent clients in audits and other matters before the Internal Revenue Service.

Businesses don't operate in a vacuum and neither do we. Realizing that our clients’ legal needs often go beyond tax issues, members of our Tax Practice Group work collaboratively with other Womble Carlyle teams to ensure that all of those needs are met.

For example, Tax attorneys regularly work in conjunction with the Corporate and Securities Practice Group to assist clients the incorporation and qualification of tax-exempt corporations. We also have worked with families and donors to establish private foundations, supporting organizations, religious ministries and other new charities.

Our tax clients include corporations, families and individuals, start-up businesses, private foundations, community foundations, chambers of commerce, hospitals and medical centers, museums and other arts organizations, colleges and universities, retirement homes and research organizations. Please give one of our attorneys a call if you would like to hear how we can help you with any tax-related matter.
